Business Customers Only
Rosette Ltd supplies goods exclusively to hotels, serviced apartments, spas, and similar commercial establishments. We do not supply goods for private or individual consumer use.
All prices are subject to VAT at the prevailing rate.
Definitions and Interpretation
1.1 In these Terms and Conditions:
“Conditions” means these Terms and Conditions.
“Contract” means the contract for the sale of Goods formed in accordance with clause 2.
“Customer” means the business or organisation purchasing Goods from Rosette Ltd.
“Goods” means any products supplied by Rosette Ltd to the Customer.
“Rosette Ltd”, “we”, “us”, or “our” means Rosette Ltd.
“Writing” includes email and other electronic communications.
1.2 References to any statute or statutory provision shall include any amendment, re-enactment, or extension in force at the relevant time.
Basis of Sale and Contract Formation
2.1 A Contract shall be formed only when Rosette Ltd confirms acceptance of the Customer’s order in Writing or by other agreed communication.
2.2 These Conditions, together with our Privacy Policy, constitute the entire agreement between the parties. Any terms proposed by the Customer are expressly excluded unless agreed in Writing by Rosette Ltd.
2.3 No variation to the Contract shall be binding unless agreed in Writing by an authorised representative of Rosette Ltd.
2.4 Any advice or recommendations provided by Rosette Ltd regarding the use of Goods are given in good faith. The Customer is solely responsible for ensuring that the Goods are suitable for their intended use and are used lawfully.
2.5 Rosette Ltd may cancel an order at any time prior to dispatch if:
full payment has not been received;
the Customer is unavailable to accept delivery; or
the Customer requests delivery to an address not previously agreed.
In such circumstances, the Customer may be liable for any delivery or administration costs incurred.
2.6 The Customer may cancel an order within three (3) days of placing it for a full refund, provided notice is given in Writing.
Specifications
3.1 Rosette Ltd reserves the right to make reasonable changes to the specification of the Goods to comply with legal, regulatory, or safety requirements, provided such changes do not materially affect quality or performance.
Price and VAT
4.1 Prices are subject to change without notice. The applicable price shall be the price in force at the time Rosette Ltd accepts the Customer’s order.
4.2 All prices are exclusive of:
VAT (charged at the applicable UK rate);
delivery;
administration charges.
4.3 Delivery and administration charges will be added to the invoice and are payable by the Customer.
Payment
5.1 Payments are processed via our secure third-party payment provider.
5.2 Accepted payment methods include:
Visa, Mastercard, Visa Electron, Maestro, and JCB (credit and debit cards).
5.3 Payment will be taken at the point the Goods are dispatched.
5.4 The Customer confirms that:
all payment details provided are accurate;
they are authorised to use the payment method; and
sufficient funds or credit facilities are available.
Delivery and Acceptance
6.1 Delivery shall be made to the address specified at the time of order and charged in accordance with our delivery schedule.
6.2 Delivery dates are estimates only. Time shall not be of the essence unless expressly agreed in Writing.
6.3 The Customer must inspect the Goods immediately upon delivery and notify Rosette Ltd of any missing or damaged Goods within three (3) days of delivery. Failure to do so shall constitute acceptance.
6.4 Rosette Ltd shall not be liable where failure to notify within this period prevents a claim against the carrier.
6.5 If the Customer is unavailable or refuses to sign for delivery, Rosette Ltd reserves the right to charge for re-delivery and associated costs.
6.6 Where Goods are confirmed as damaged, Rosette Ltd shall, at its discretion, replace the Goods or issue a full refund if replacement is not possible.
Risk and Title
7.1 Risk in the Goods passes to the Customer upon delivery.
7.2 Title to the Goods shall remain with Rosette Ltd until all sums due (including delivery and administration charges) have been paid in full.
7.3 Until title passes, the Customer grants Rosette Ltd the right to enter its premises to recover unpaid Goods.
Warranties and Liability
8.1 Rosette Ltd warrants that Goods shall conform to their specification and be free from material defects at the time of delivery.
8.2 This warranty does not apply to damage caused by:
fair wear and tear;
improper use or storage;
abnormal conditions beyond Rosette Ltd’s control.
8.3 No statements or representations outside this Contract shall form part of the agreement.
8.4 Rosette Ltd shall not be liable for delays or failure to perform caused by events beyond its reasonable control.
8.5 Where this clause applies, all outstanding payments shall become immediately due, and Rosette Ltd may suspend further deliveries without liability.
Intellectual Property and General Terms
9.1 The Customer shall not use Rosette Ltd’s name, logo, trademarks, or product images for marketing or publicity without prior written consent.
9.2 This Contract is intended to benefit both parties equally.
9.3 This Contract and any disputes arising from it shall be governed by and construed in accordance with the laws of England and Wales.

delivery arrangements are unsuitable or unavailable; or
delivery is requested to an address not previously agreed.
The Customer may be liable for any delivery or administration costs incurred.

No Returns & No Refunds Policy
7.1 All sales are final. Rosette Ltd operates a strict no returns and no refunds policy.
7.2 Goods are supplied exclusively to business customers and are not eligible for cancellation, return, or refund once the order has been accepted and/or dispatched.
7.3 The only exception to this policy is where:
Goods are delivered damaged; or
Goods do not materially conform to their specification at the time of delivery.
7.4 In such cases, the Customer must notify Rosette Ltd in accordance with clause 6.3. Rosette Ltd shall, at its discretion, either:
replace the affected Goods; or
issue a refund where replacement is not possible.
7.5 No refunds shall be issued for reasons including, but not limited to, change of mind, incorrect ordering, surplus stock, or commercial preference.
Risk and Title
8.1 Risk in the Goods passes to the Customer upon delivery.
8.2 Title to the Goods remains with Rosette Ltd until all sums due have been paid in full.
8.3 Until title passes, the Customer grants Rosette Ltd the right to enter its premises to recover unpaid Goods.

9.4 Rosette Ltd shall not be liable for failure or delay caused by events beyond its reasonable control.
9.5 Where this clause applies, outstanding sums shall become immediately payable and Rosette Ltd may suspend further deliveries.
Data Protection and GDPR Compliance
10.1 Rosette Ltd processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
10.2 Personal data collected from the Customer shall be used solely for:
order processing and fulfilment;
account management;
legal and regulatory compliance.
10.3 Rosette Ltd shall not sell or disclose personal data to third parties except where required to fulfil the Contract or comply with legal obligations.
10.4 Appropriate technical and organisational measures are implemented to protect personal data against unauthorised access, loss, or misuse.
10.5 Customers have the right to access, rectify, or request deletion of personal data, subject to legal and contractual limitations, by contacting Rosette Ltd in Writing.

Intellectual Property and General
11.1 The Customer shall not use Rosette Ltd’s name, logos, trademarks, or product images without prior written consent.
11.2 This Contract is intended to benefit both parties and does not create rights for third parties.
11.3 This Contract shall be governed by and construed in accordance with the laws of England and Wales.
